Terms and Conditions

These Terms of Use ("Terms") regulate your access or utilization, globally, of the applications, websites, content, products, and services ("Services") provided in all territories and possessions by ZED Mobility Solutions LLC and its parents, subsidiaries, representatives, affiliates, officers, and directors (collectively, "ZED"). It is imperative to thoroughly review these terms as they constitute a legally binding agreement between you and ZED. In these Terms, the terms "including" and "include" are to be construed to mean "including, but not limited to."

By accessing or using the Services, you affirm your acceptance of being bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. These Terms explicitly supersede any prior agreements or arrangements with you. ZED reserves the right to immediately terminate these Terms or any Services pertaining to you, or to cease offering or deny access to the Services, or any part thereof, at its discretion and without notice.

ZED reserves the right to amend the Terms periodically. Amendments shall take effect upon ZED's posting of such revised Terms at this location or within the amended policies or supplemental terms on the relevant Service(s). Your continued access or use of the Services subsequent to such posting affirms your consent to be bound by the amended Terms. The collection and utilization of personal information concerning ZED are governed by Zed’s Privacy Policy available at https://gozed.ae/privacy-policy

The Services encompass mobile applications and related services (each, an "Application"), providing users with the ability to organize and schedule transportation services. In specific instances, the Services may include an option to obtain transportation for a predetermined price, subject to approval by the respective Third-Party Providers. Unless expressly agreed upon by ZED in a distinct written agreement with you, the Services are exclusively intended for your personal, noncommercial use. It is understood that utilizing the Services to obtain transportation services does not establish ZED as a provider of transportation carrier.

Subject to your adherence to these Terms, ZED grants you a restricted, non-exclusive, non-sublicensable, revocable, non-transferable license to:

(i) access and utilize the Applications on your personal device exclusively in connection with your use of the Services; and

(ii) access and use any content, information, and related materials made available through the Services, solely for your personal, non-commercial use.

Any rights not explicitly granted herein are reserved by ZED and its licensors.

You are prohibited from:

(i) removing any copyright, trademark, or other proprietary notices from any part of the Services;

(ii) reproducing, modifying, creating derivative works, distributing, licensing, leasing, selling, reselling, transferring, publicly displaying, publicly performing, transmitting, streaming, broadcasting, or otherwise exploiting the Services, except as expressly permitted by ZED;

(iii) decompiling, reverse engineering, or disassembling the Services, except as may be permitted by applicable law;

(iv) linking to, mirroring, or framing any portion of the Services;

(v) initiating programs or scripts with the purpose of scraping, indexing, surveying, or data mining any part of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; or

(vi) attempting to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.

Acknowledging that portions of the Services may be available under various brands, you also recognize that the Services may be accessible under such brands or request options by or in connection with:

(i) certain subsidiaries and affiliates of ZED; or

(ii) independent Third-Party Providers, including Transportation Network Company drivers, Transportation Charter Permit holders, or holders of similar transportation permits, authorizations, or licenses.

The Services may be accessible or utilised in conjunction with third-party services and content (including advertising) beyond ZED's control. You acknowledge that distinct terms of use and privacy policies may govern your use of such third-party services and content. ZED does not endorse such third-party services and content, and under no circumstances shall it be responsible or liable for any products or services offered by such third-party providers. Furthermore, Apple Inc., Google, Inc., Microsoft Corporation, or BlackBerry Limited will be considered third-party beneficiaries to this agreement if you access the Services using Applications developed for Apple iOS, Android, Microsoft Windows, or BlackBerry-powered mobile devices, respectively. These third-party beneficiaries are not parties to this agreement and are not accountable for the provision or support of the Services in any manner. Your access to the Services using these devices is subject to the terms set forth in the applicable third-party beneficiary's terms of service.

The Services and all associated rights are and will remain the property of ZED or its licensors. Neither these Terms nor your use of the Services confer or grant to you any rights:

(i) in or related to the Services, except for the limited license granted above; or

(ii) to use or reference in any manner ZED's company names, logos, product and service names, trademarks, or service marks, or those of ZED's licensors.

To access most features of the Services, you must register for and maintain an active personal user Services account ("Account"). You must be at least 18 years of age or the age of legal majority in your jurisdiction (if different than 18). Account registration necessitates the submission of certain personal information to ZED, including your name, address, and mobile phone number, as well as at least one valid payment method supported by ZED. Failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in the inability to access or use the Services. You are accountable for all activity under your Account and agree to maintain the security and confidentiality of your Account username and password/pin. Unless explicitly permitted by ZED in writing, only one Account per individual is allowed.

The Service is not intended for use by individuals under the age of 18. Authorization for third parties to use your Account is prohibited, and individuals under the age of 18 are not allowed to receive transportation services from Third Party Providers unless accompanied by you. Assignment or transfer of your Account to any other person or entity is not permitted. You agree to comply with all applicable laws when accessing or using the Services, limiting use to lawful purposes (e.g., no transport of unlawful or hazardous materials). Any actions causing nuisance, annoyance, inconvenience, or property damage, whether to the Third-Party Provider or any other party, are strictly prohibited. In certain situations, you may be required to provide proof of identity or other identity verification methods to access or use the Services, and refusal to provide such proof may result in denial of access to or use of the Services.

Users are prohibited from misusing the Third Party Provider’s vehicles or using such vehicles for any illegal purposes. Additionally, engaging in illegal activities while availing transportation services, such as sexual acts, drinking alcohol, smoking, or carrying any drugs or narcotics, is strictly forbidden. Users will be solely responsible for any such prohibited acts.

By creating an Account and using the Services, you consent to receive communications from ZED, including via email, text messages, WhatsApp, calls, and push notifications. You acknowledge that texts, calls, or pre-recorded messages may be generated by automatic telephone dialing systems (where allowed by and in compliance with local law). Communications may include operational updates, promotions, news, and other information. Standard text messaging charges applied by your cell phone carrier will apply to text messages sent by ZED. You may opt-out of receiving text messages from ZED at any time.

ZED may, at its discretion, create promotional codes ("Promo Codes") subject to additional terms. Promo Codes must be used lawfully, may not be duplicated, sold, or transferred without ZED's express permission, may be disabled at any time, and may expire. Promo Codes are separate from, and governed independently of, the ZED Wallet and Promotional Credits described below.

ZED Wallet and Promotional Credits

ZED may, as a promotional and loyalty feature, make available a feature referred to as the "ZED Wallet," through which ZED may from time to time allocate promotional credits ("Credits") to your Account. The ZED Wallet is not a bank account, payment account, payment instrument, or financial product of any kind.

You acknowledge, agree, and represent that, although Credits may be displayed in UAE Dirhams (AED) or another currency for ease of reference only, Credits are not money, currency, legal tender, funds, electronic money, stored value, a security, or a deposit, are not a stored value facility or any regulated payment product under any applicable law, and have no monetary, cash, or surrender value whatsoever. Any amount displayed is for illustrative and display purposes only, does not represent funds held by, owed by, or recoverable from ZED, and creates no debtor-creditor, trust, fiduciary, custodial, or similar relationship between you and ZED. No interest, profit, or return of any kind accrues on Credits.

You further acknowledge and agree that:

(i) you cannot buy, load, top up, fund, or add money or value to the ZED Wallet by any means, and ZED neither accepts, holds, nor safeguards any funds from you in connection with it;

(ii) Credits cannot be withdrawn, encashed, redeemed for cash, exchanged or converted into money or any other instrument, or refunded to you in any form, in whole or in part;

(iii) Credits are personal to your Account and are strictly non-transferable; they may not be sold, assigned, gifted, pledged, pooled, combined, traded, or moved to or from any other account, person, or platform, and you will not attempt to do any of the foregoing or to create or facilitate any secondary market in Credits;

(iv) Credits are not your property and do not constitute any right, entitlement, balance owed to you, or claim of any nature against ZED, and you obtain no proprietary or contractual interest in them.

Granting of Credits

Credits are granted, calculated, and allocated solely at ZED's absolute discretion in accordance with the rules of the relevant promotional activity as determined and published by ZED from time to time. ZED may at any time, without prior notice and without liability, establish, vary, suspend, or withdraw any such rules, the basis or amount of any grant, the categories of eligible users or transactions, and any conditions attaching to Credits. You have no right or entitlement to receive any Credits, no Credits are guaranteed, and no past grant of Credits creates any expectation, course of dealing, waiver, estoppel, or entitlement to any future grant.

Use of Credits

Subject to the applicable promotion rules and to availability, Credits may be applied only as a discretionary discount against such base Charges for the Services as ZED designates as eligible. Unless ZED expressly states otherwise, Credits may not be applied to taxes, government fees, tolls, surcharges, booking fees, tips, charges of Third-Party Providers, or any add-on or third-party items, and may not be combined with any other Credit, promotional code, discount, or offer. ZED determines the manner, order, sequence, and limits of application of Credits in its sole discretion. Credits are applied as a deduction only and never generate cash, change, residual balance, or any value back to you; any unused or excess portion of a Credit is forfeited and has no value. Application of Credits does not affect ZED's right to charge you for any amount not covered by eligible Credits.

Refunds and reversals

Where any Charge against which Credits were applied is later cancelled, reversed, or refunded, ZED may in its sole discretion restore the corresponding Credits (subject to their original expiry) or decline to do so, and in no event will any Credit be refunded, returned, or paid to you as money.

Expiry

Credits expire on the date, or at the end of the period, notified at the time of grant or otherwise published by ZED, and ZED may shorten, extend, or otherwise change any expiry at its discretion. Upon expiry, Credits are forfeited automatically and without notice, cease to be usable, and cannot be reinstated.

Adjustment, forfeiture, and account action

ZED may at any time, in its sole and absolute discretion and without notice, liability, or any obligation to provide a reason, reduce, suspend, freeze, cancel, withhold, recalculate, set off, claw back, or void any or all Credits in your Account, including (without limitation) where ZED determines, suspects, or has reason to believe that Credits were granted in error or in excess, or were obtained, used, or accumulated through fraud, manipulation, collusion, abuse of any promotion, multiple or duplicate accounts, or any breach of these Terms, and otherwise for any reason or for no reason at ZED's sole discretion. ZED further reserves the right to restrict, suspend, block, or terminate your access to the Services and/or the ZED Wallet at any time, in its sole discretion, upon which any associated Credits are immediately and automatically forfeited. In no circumstances will you be entitled to any payment, compensation, refund, transfer, reinstatement, or substitute of any kind in respect of Credits that are reduced, withheld, forfeited, expired, recalled, or lost for any reason.

Modification or discontinuation

ZED may modify, suspend, or discontinue the ZED Wallet, any associated promotion, and any or all Credits, in whole or in part, at any time and without prior notice or liability, including by setting any or all Credit balances to zero on termination of the feature.

No warranty; limitation of liability

The ZED Wallet and all Credits are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, ZED disclaims all warranties in connection with the ZED Wallet and Credits and shall not be liable for any inability to access, use, or benefit from Credits, or for any error, omission, delay, miscalculation, loss, or interruption in the granting, display, valuation, or application of Credits. This section is in addition to, and subject to, the disclaimers, limitations of liability, governing law, dispute resolution, and severability provisions set out elsewhere in these Terms.

General

You are solely responsible for any tax that may arise in respect of any Credit. ZED's records as to the existence, amount, application, and expiry of Credits are conclusive and binding, save for manifest error. ZED's failure or delay in enforcing any provision of this section is not a waiver of its rights. If any part of this section is held unenforceable, the remainder continues in effect and, in particular, the characterization of Credits as having no monetary or cash value shall survive to the fullest extent permitted by law.

ZED may permit you to submit textual, audio, and/or visual content and information through the Services ("User Content"). User Content remains your property, but by providing it to ZED, you grant ZED a worldwide, perpetual, irrevocable, transferable, royalty-free license to use, copy, modify, distribute, publicly display, and exploit the User Content in connection with the Services and ZED’s business.

You represent and warrant that you own the User Content or have the necessary rights, licenses, consents, and releases, and that the User Content will not infringe upon third-party rights. You agree not to provide offensive User Content, and ZED may, at its discretion, review, monitor, or remove User Content without notice.

You are accountable for procuring the data network access essential for utilizing the Services. If you access or use the Services from your device, your mobile network's data and messaging rates and fees may be applicable. Additionally, you are responsible for obtaining and maintaining compatible hardware or devices required to access and use the Services and Applications, including any subsequent updates. ZED makes no assurances regarding the functionality of the Services, or any part thereof, on specific hardware or devices. It is important to note that the Services may encounter malfunctions and delays inherent in Internet and electronic communication usage.

You acknowledge that the use of the Services may result in charges ("Charges") to you for the services obtained. ZED will receive and facilitate payment for the applicable Charges through your use of the Services. Charges are inclusive of applicable taxes, as required by law, and may also include other applicable fees, tolls, surcharges, such as a booking fee, municipal tolls, airport surcharges, or processing fees for split payments. If you purchase add-ons during the booking process, Charges will encompass fees associated with those add-on items.

All Charges and payments will be processed by ZED using the preferred payment method designated in your Account, and you will receive a receipt by email. If your primary payment method is determined to be expired, invalid, or otherwise unable to be charged, you agree that ZED may use a secondary payment method in your Account, if available. Charges paid by you are considered final and non-refundable, unless otherwise determined by ZED.

As between you and ZED, ZED reserves the right to establish, remove, and/or revise Charges for any or all services obtained through the Services at its sole discretion. You acknowledge that Charges in certain geographical areas may substantially increase during high-demand periods. ZED will make reasonable efforts to inform you of applicable Charges, but you are responsible for Charges incurred under your Account, regardless of your awareness of such Charges or their amounts. ZED may offer promotional offers and discounts to certain users, and you agree that these offers and discounts, unless made available to you, will not affect your use of the Services or the Charges applied to you.

You have the option to cancel your service request at any time before the commencement of such services, with the possibility of incurring a cancellation fee on behalf of the Third Party Provider. After receiving services or goods through the Service, you can rate your experience and provide additional feedback. ZED may utilise the proceeds of any Charges for any purpose, subject to payment obligations agreed upon with Third Party Providers or other third parties.

Charges you incur are owed and payable directly to ZED or its affiliates, and ZED is solely liable for any obligations to Third Party Providers. You retain the right to request lower Charges from ZED for services received from a Third Party Provider, and ZED will respond accordingly to your request to modify the Charges for a particular service.

Except for taxicab transportation services requested through the Application, ZED does not designate any portion of your payment as a tip or gratuity to a Third Party Provider. Any suggestion by ZED, whether on ZED’s website, in the Application, or in marketing materials, that tipping is "voluntary," "not required," or "included" in your payments for services is not intended to imply additional amounts provided by ZED to a Third Party Provider. While you are free to offer additional payment as a gratuity, you are under no obligation to do so, as gratuities are voluntary.

You are responsible for the cost of repairing damage to, or necessary cleaning of, vehicles and property resulting from the use of the Services under your Account beyond normal "wear and tear" damages and necessary cleaning ("Repair or Cleaning"). If a Repair or Cleaning request is verified by ZED, ZED reserves the right to facilitate payment for the reasonable cost of such Repair or Cleaning using your designated payment method. These amounts, as well as those related to lost and found goods, will be transferred by ZED to a Third Party Provider, if applicable, and are non-refundable.

You pre-authorize ZED to temporarily hold an estimated amount on your payment method while booking a Service to make sure there is sufficient balance. You understand that the amount held is an estimate of the booking charges and is not an actual charge for use of the Services or transportation services provided by the Third Party Providers. Any portion of such pre-authorized amount which is not applied towards the payment of Charges will be made available to you in accordance with the terms and conditions of ZED. ZED shall have no liability whatsoever in respect of payment pre-authorizations.

The Services provided by ZED are presented "as is" and "as available." ZED disclaims all representations and warranties, express, implied, or statutory, not expressly set out in these Terms, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Furthermore, ZED makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability, or availability of the Services or any services or goods requested through the use of the Services. ZED does not guarantee uninterrupted or error-free Services. The quality, suitability, safety, or ability of Third Party Providers is not guaranteed by ZED. The entire risk arising out of your use of the Services remains solely with you, to the maximum extent permitted under applicable law.

ZED shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of the Services, regardless of the negligence (either active, affirmative, sole, or concurrent) of ZED, even if ZED has been advised of the possibility of such damages.

ZED shall not be liable for any damages, liability, or losses arising out of: (i) your use of or reliance on the Services or your inability to access or use the Services; or (ii) any transaction or relationship between you and any Third Party Provider. ZED shall not be liable for delay or failure in performance resulting from causes beyond ZED’s reasonable control. The Services may be used by you to request and schedule transportation services with Third Party Providers, but ZED has no responsibility or liability to you related to any transportation, goods, or logistics services provided by Third Party Providers other than as expressly set forth in these Terms.

The limitations and disclaimer in this section do not purport to limit liability or alter your rights as a consumer that cannot be excluded under applicable law. ZED’s liability, where permitted by law, shall be limited. This provision shall have no effect on ZED’s choice of law provision set forth below.

You agree to indemnify and hold ZED, its affiliates, and their officers, directors, employees, and agents harmless from any claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with: (i) your use of the Services obtained through your use of the Services; (ii) your breach or violation of any of these Terms; (iii) ZED’s use of your User Content; or (iv) your violation of the rights of any third party, including Third Party Providers.

This Agreement is governed by and construed in accordance with the laws of the jurisdiction in which the relevant ZED entity, with whom you have contracted, is incorporated, without giving effect to any conflict of law principles, except as may be otherwise provided in supplemental terms applicable to your region. The Vienna Convention on the International Sale of Goods of 1980 (CISG) shall not apply.

Any dispute, conflict, claim, or controversy arising out of or broadly in connection with or relating to the Services or these Terms (any “Dispute”) will be first mandatorily submitted to mediation proceedings under the International Chamber of Commerce Mediation Rules (“ICC Mediation Rules”). If such Dispute has not been settled within sixty (60) days after a request for mediation has been submitted under such ICC Mediation Rules, it can be referred to and will be exclusively and finally resolved by arbitration under the Rules of Arbitration of the International Chamber of Commerce (“ICC Arbitration Rules”). The ICC Rules’ Emergency Arbitrator provisions are excluded. The Dispute will be resolved by one (1) arbitrator appointed in accordance with the ICC Rules. Both mediation and arbitration will be conducted in the city where the relevant ZED entity has its registered office. The language will be English unless you do not speak English, in which case it will be conducted in both English and your native language. The proceedings and all related information will remain strictly confidential, disclosed only if reasonably required for the mediation or arbitration proceedings or if agreed upon in writing by all parties involved.

Claims of copyright or trademark infringement must be sent to ZED’s designated agent. Claims sent to any other contact will neither be received nor acknowledged.

ZED may provide notice through various means, including general notice on the Services, electronic mail to your email address in your Account, or by written communication sent to your address as set forth in your Account. You may provide notice to ZED by written communication to ZED’s address.

You may not assign or transfer these Terms without ZED’s prior written approval. You give your approval to ZED for it to assign or transfer these Terms, including to: (i) a subsidiary or affiliate; (ii) an acquirer of ZED’s equity, business, or assets; or (iii) a successor by merger. No joint venture, partnership, employment, or agency relationship exists between you, ZED, or any Third Party Provider as a result of the contract between you and ZED or use of the Services.

ZED may subcontract or otherwise engage any of its affiliates for the provision of its obligations under this Agreement, always in line with ZED’s privacy notice.

If any provision of these Terms is held to be illegal, invalid, or unenforceable, in whole or in part, under any law, such provision or part thereof shall be deemed not to form part of these Terms.

The legality, validity, and enforceability of the other provisions in these Terms shall not be affected. The parties shall replace the illegal, invalid, or unenforceable provision or part thereof with a provision or part thereof that is legal, valid, and enforceable, with a similar effect as the illegal, invalid, or unenforceable provision or part thereof, considering the contents and purpose of these Terms.

These Terms constitute the entire agreement and understanding of the parties regarding its subject matter, replacing and superseding all prior or contemporaneous agreements or undertakings regarding such subject matter. In these Terms, the words “including” and “include” mean “including, but not limited to.”
